Introduction

Welcome to Secret States Wholesale Agreement

This Wholesale Supply Agreement (“WSA”) is entered into between Secret States Pty Ltd (ABN 14 670 162 633, hereinafter referred to as the “Supplier,” and the Wholesale Partner, (NAME, ADDRESS ABN) hereinafter referred to as the “WP.”

  • [ ] I agree to accept the startup inventory (ESL) provided by Secret States.
  • [ ] I understand that Secret States will deliver monthly replenishment orders to maintain the ESL.
  • [ ] I authorise Secret States to charge my credit/debit card for ESL and subsequent replenishment orders.
  • [ ] I am aware that I have the option to cancel the supply agreement within the first 90 days, and Secret States will pick up and refund any remaining full cases.

Agreement Terms:

The following terms and conditions outline the agreement between the Supplier and the WP:

  1. Startup Inventory:
    • Secret States will provide a startup inventory, known as the Essential Stock Level (ESL), for new accounts.
    • The starting ESL for your business category is 12 cases.
  2. Replenishment:
    • Secret States will deliver periodic replenishment of the product on a monthly basis, generally within a week-long window, to meet the ESL requirements.
    • The ESL may be adjusted based upon sales velocity and history, or in consultation with the WP. The ideal ESL should ensure stock is sufficient to last the forecasted logistics cycle with a level of comfort.
  3. Payment Authorisation:
    • All payments for stock are to be processed via credit or debit card with 0% fees. Payments with AMEX or Diners incur an additional 1.5%.
    • Upon signing this WSA, the WP authorises the Supplier to charge their credit/debit card for the payment of the ESL and subsequent replenishment orders upon delivery receipt.
  4. Cancellation within the First 90 Days:
    • If the WP wishes to cancel the supply agreement within the first 90 days of signing this WSA, Secret States will pick up and refund any remaining full cases.

Agreement:

Please note that this agreement is not transferable. If you sell or close your business, please contact us if you choose to sell your remaining stock to another business, as we only sell to approved customers that agree with the above.
